Terms of Service

By accessing or using the Complytics platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

These Terms constitute a legally binding agreement between you (either an individual or an entity) and Complytics Technologies Pvt Ltd ("Complytics", "we", "us", or "our").

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website. Your continued use of the Service after such changes constitutes acceptance of the modified Terms.

Complytics provides an AI-powered GST compliance platform that enables businesses and CA firms to:

• Extract data from invoices using OCR technology

• Reconcile invoice data with GSTR-2A and GSTR-2B returns

• Manage clients and invoice processing workflows

• Generate reports and analytics for GST compliance

The Service is provided on a subscription basis with different pricing tiers as described on our pricing page.

To use the Service, you must create an account by providing accurate and complete information. You are responsible for:

• Maintaining the confidentiality of your account credentials

• All activities that occur under your account

• Notifying us immediately of any unauthorized access or security breach

• Ensuring that your account information remains accurate and up-to-date

You must be at least 18 years old to create an account. By creating an account, you represent that you meet this age requirement.

We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent or illegal activities.

As a user of the Service, you agree to:

• Provide accurate information when using the Service

• Use the Service only for lawful purposes and in compliance with applicable laws

• Not interfere with or disrupt the Service or servers

• Not attempt to gain unauthorized access to any part of the Service

• Not use the Service to transmit viruses, malware, or harmful code

• Not reverse engineer, decompile, or disassemble any part of the Service

• Not use automated systems (bots, scrapers) without our written permission

• Comply with all applicable GST laws and regulations

You may not use the Service to:

• Violate any laws, regulations, or third-party rights

• Engage in fraudulent activities or misrepresent your identity

• Upload or transmit content that is illegal, harmful, or offensive

• Harass, abuse, or harm other users

• Spam or send unsolicited communications

• Infringe on intellectual property rights

• Attempt to circumvent security measures or access restrictions

• Use the Service in a manner that could damage our reputation

Violation of this Acceptable Use Policy may result in immediate suspension or termination of your account.

The Service and all content, features, and functionality are owned by Complytics and are protected by copyright, trademark, and other intellectual property laws.

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes.

You retain ownership of any data, invoices, or content you upload to the Service ("User Content"). By uploading User Content, you grant us a license to use, store, and process it solely to provide the Service.

You may not:

• Copy, modify, or create derivative works of the Service

• Sell, rent, lease, or sublicense access to the Service

• Remove or alter any proprietary notices or labels

• Use our trademarks or branding without written permission

Subscription fees are billed in advance on a monthly or annual basis, depending on your chosen plan. By subscribing, you authorize us to charge your payment method.

Payment terms:

• All fees are in Indian Rupees (INR) unless otherwise stated

• Fees are non-refundable except as required by law or our refund policy

• We may change pricing with 30 days' notice to existing subscribers

• Failed payments may result in service suspension

• You are responsible for all applicable taxes

Free trial:

• New users receive a 14-day free trial

• No credit card required to start the trial

• After the trial, you will be charged unless you cancel

You may cancel your subscription at any time through your account settings. Cancellation will take effect at the end of your current billing period.

We may suspend or terminate your account if you:

• Violate these Terms or our Acceptable Use Policy

• Fail to pay fees when due

• Engage in fraudulent or illegal activities

• Pose a security risk to the Service or other users

Upon termination:

• Your access to the Service will be revoked

• You may request a copy of your data within 30 days

• We may delete your data after the retention period

• No refunds will be provided for partial billing periods

TO THE MAXIMUM EXTENT PERMITTED BY LAW, COMPLYTICS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

Some jurisdictions do not allow the exclusion of certain warranties or limitations of liability, so some of the above limitations may not apply to you.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

We disclaim all warranties, including but not limited to:

• Warranties of merchantability and fitness for a particular purpose

• Warranties that the Service will be uninterrupted or error-free

• Warranties regarding the accuracy or reliability of OCR results

• Warranties that the Service will meet your specific requirements

While we strive for high accuracy in OCR and data processing, we do not guarantee 100% accuracy. You are responsible for verifying all data and ensuring compliance with GST regulations.

You agree to indemnify, defend, and hold harmless Complytics and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including legal fees) arising from:

• Your use of the Service

• Your violation of these Terms

• Your violation of any laws or third-party rights

• Your User Content

We reserve the right to assume exclusive defense and control of any matter subject to indemnification by you.

Our collection, use, and protection of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

By using the Service, you consent to our data processing practices as described in the Privacy Policy.

We implement appropriate security measures to protect your data, but we cannot guarantee absolute security. You acknowledge that you provide data at your own risk.

We strive to maintain high availability of the Service, but we do not guarantee uninterrupted access.

We may:

• Perform scheduled maintenance with advance notice

• Conduct emergency maintenance without notice

• Temporarily suspend the Service for security or technical reasons

We are not liable for any downtime, data loss, or business interruption resulting from service unavailability.

These Terms are governed by the laws of India, without regard to conflict of law principles.

Any disputes arising from these Terms or the Service shall be resolved through:

1. Good faith negotiations between the parties

2. Mediation, if negotiations fail

3. Binding arbitration in accordance with Indian arbitration laws

Waiver: Our failure to enforce any right or provision does not constitute a waiver of that right or provision.

Assignment: You may not assign or transfer these Terms without our written consent. We may assign these Terms without restriction.

Force Majeure: We are not liable for delays or failures due to circumstances beyond our reasonable control.
