Terms of Use
Effective August 2026 • Read the contractual terms and acceptable use guidelines governing access to the Complytics platform.
These terms define the agreement between your firm/organization and Complytics (Vedora Labs). By using our automated GST reconciliation engine, multi-tenant CA workspace, or AI co-pilot, you accept these operational terms.
1. Acceptance of Terms & Account Governance
By creating an account, accessing, or using the Complytics platform (provided by Vedora Labs), you agree to be bound by these Terms of Use. If you represent a Chartered Accountant firm, corporate entity, or partnership:
- You warrant that you possess the legal authority to bind your organization to these terms.
- You are responsible for managing user roles (Firm Admins, Senior CAs, Junior Accountants, Client Users) assigned under your workspace.
- You agree to maintain strictly confidential account credentials and notify us immediately of any unauthorized access.
2. Platform Scope & Statutory GST Disclaimer
Complytics provides automated software tools for GSTR-2B reconciliation, Input Tax Credit (ITC) optimization, vendor mismatch detection, and CA workflow management.
3. Subscriptions, Invoicing & Billing (Razorpay)
Platform access is billed on a subscription or pay-per-client basis as selected under your plan:
- All subscription transactions are billed in Indian Rupees (INR) and processed securely via Razorpay.
- Applicable Goods and Services Tax (GST at 18%) will be added to subscription invoices in compliance with Indian tax laws.
- Subscriptions auto-renew unless cancelled prior to the next billing cycle through your billing workspace.
4. Intellectual Property & Customer Data Ownership
Customer Data Ownership: You retain complete, unencumbered ownership of all purchase registers, GSTR-2B JSON files, invoice uploads, and business data uploaded to your workspace.
Platform IP: All software source code, algorithms, matching heuristics, UI designs, trademarks, and documentation remain the exclusive intellectual property of Vedora Labs.
5. Limitation of Liability & SLA Target
We maintain a 99.9% target service uptime. To the maximum extent permitted under applicable law:
- Complytics shall not be liable for indirect, incidental, or consequential damages, loss of profits, or penalties incurred due to incorrect vendor invoice filings.
- Our cumulative liability for any claim arising from service usage shall not exceed the subscription fees paid by you in the 12 months preceding the event.
6. Governing Law & Dispute Resolution
These Terms are governed by and construed in accordance with the laws of India.
Any disputes, controversy, or claims arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the Courts located in Bengaluru, Karnataka, India. Arbitrations, if pursued, shall be conducted under the Indian Arbitration and Conciliation Act, 1996.
